1. Introduction and Agreement

Welcome to Imagine Studio (“Service”), an AI-powered image generation and editing platform available at imaginestud.io.

The Service is operated by Anteambulo Pty Ltd (ABN 49 657 365 681), a company registered in Australia (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Acceptable Use Policy. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 18 years of age to access or use the Service. By using the Service, you represent and warrant that you are 18 years of age or older.

In accordance with the Online Safety Act 2021 (Cth) and the eSafety Commissioner’s Phase 2 Industry Codes, we implement age assurance measures to verify that users meet the minimum age requirement before accessing content that may be classified as R 18+ under Australian classification guidelines.

We reserve the right to request additional age verification at any time and to suspend or terminate accounts where we reasonably believe the user does not meet the age requirement.

3. Account and Registration

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at support@imaginestud.io if you suspect any unauthorised access to your account

4. Service Description

Imagine Studio provides AI-powered image generation and editing tools. The Service allows you to:

• Generate images from text prompts using a variety of AI models
• Edit existing images using prompt-driven AI editing
• Manage non-destructive edit histories for your generated images

The AI image generation is powered by Venice.ai. The quality, style, and content of generated images depend on the AI models used and the prompts provided. We do not guarantee that generated images will meet your specific expectations or requirements.

5. Payments and Subscriptions

Certain features of the Service require a paid subscription. Payment is processed securely by Stripe. We do not store your credit card details on our servers.

5.1 Pricing and Billing

Subscription prices are displayed on our pricing page at the time of purchase. All prices are inclusive of GST where applicable. Subscriptions are billed on a recurring basis (monthly or annually, as selected) and will automatically renew at the end of each billing period unless cancelled.

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation is effective at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. We are committed to making cancellation as straightforward as the initial subscription process.

5.3 Refunds

Refund requests are assessed on a case-by-case basis. If you believe you are entitled to a refund, please contact us at support@imaginestud.io. Nothing in this section limits your rights under the Australian Consumer Law.

6. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms purports to modify or exclude the conditions, warranties, and undertakings implied by the Australian Consumer Law or any other applicable consumer protection legislation. If we fail to comply with a consumer guarantee, you are entitled to the remedies provided under the Australian Consumer Law.

For services, you are entitled to a remedy (including a refund, compensation, or re-supply of the service) if the services are not provided with due care and skill, are not fit for purpose, or do not comply with the consumer guarantees.

7. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which forms part of these Terms. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

8. Intellectual Property

8.1 Your Content

You retain ownership of the text prompts you submit to the Service. Subject to these Terms and applicable law, you own the images generated through your use of the Service to the extent permitted by law. Please note that the copyright status of AI-generated images under Australian law may be uncertain, and AI-generated content may not receive full copyright protection unless sufficient human authorship is demonstrated.

8.2 Licence to Us

By submitting content to the Service, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and transmit your content solely for the purpose of operating and providing the Service. This licence terminates when you delete your content or your account, except where retention is required by law or for legitimate operational purposes.

8.3 Our Intellectual Property

The Service, including its design, features, software, and branding, is owned by Anteambulo Pty Ltd and is protected by Australian and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

9. Content and Mature Material

The Service is capable of generating content that may include artistic nudity and partial nudity. By using the Service, you acknowledge that:

• You may encounter AI-generated content that includes mature themes, artistic nudity, or partial nudity
• You are solely responsible for the prompts you submit and the images you generate
• You must comply with our Acceptable Use Policy at all times when generating or sharing content
• You are responsible for ensuring that your use of generated content complies with all applicable laws in your jurisdiction

10. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by law and subject to Section 6 (Australian Consumer Law):

• The Service is provided on an “as is” and “as available” basis without warranties of any kind, except those implied by law which cannot be excluded
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability for any claims arising from or related to the Service is limited to the amount you have paid us in the 12 months preceding the claim
• We are not liable for the content, accuracy, or appropriateness of AI-generated images

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by any legislation which cannot lawfully be excluded or limited. This includes the Australian Consumer Law.

12. Termination

By you: You may close your account at any time by contacting us at support@imaginestud.io or through your account settings. If you have an active subscription, cancellation applies as described in Section 5.2.

By us: We may suspend or terminate your access to the Service if:

• You breach these Terms or the Acceptable Use Policy
• We are required to do so by law, regulation, or a court or regulatory order
• Your conduct poses a risk to the safety or security of other users or the Service

Where practicable, we will provide you with reasonable notice before suspending or terminating your account, along with the reasons for our decision. If your account is terminated due to our breach, you may be entitled to a pro-rata refund for any prepaid subscription fees.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you may close your account before the changes take effect.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any dispute arising under or in connection with these Terms is subject to the non-exclusive jurisdiction of the courts of Australia. Nothing in this clause limits your right to bring proceedings in any court of competent jurisdiction.
